Terms of Service

These Terms of Service ("Terms") govern your use of the Feednode product feed management service (the "Service") operated by Reikalai ir dalykai, MB, a small partnership (mažoji bendrija) registered in the Republic of Lithuania, company code 306672029, VAT code LT100019039315, registered address Bažnyčios g. 3-3, Jokūbavo k., LT-97210 Kretingos r., Lithuania (the "Provider", "we", "us"). By creating a Feednode workspace you ("Customer", "you") agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you are authorised to bind that organisation.

Feednode ingests product catalog data you provide, applies field mappings you configure, and publishes transformed feeds to a URL you can share with marketing channels such as Meta Commerce Manager, Google Merchant Center, and similar platforms. We do not guarantee any specific acceptance or conversion outcome on those downstream platforms.

You retain all rights to the product data you upload or connect to the Service ("Customer Content"). You grant the Provider a limited, non-exclusive licence to fetch, store, transform, and serve Customer Content solely as needed to operate the Service for you. You are responsible for ensuring you have the right to upload your Customer Content and that it does not infringe third-party rights.

You agree not to: (a) upload content that is unlawful, infringing, malicious, or designed to deceive end-consumers on downstream platforms; (b) attempt to access other tenants' data, reverse-engineer the Service, or interfere with its operation; (c) use the Service to spam, scrape third parties without authorisation, or circumvent rate limits on downstream marketing platforms.

We target high availability but do not guarantee uninterrupted operation. Scheduled maintenance and incident windows may cause brief disruption. The Service runs in europe-west1; EU-based infrastructure providers (primarily Google Cloud and Cloudflare) are subcontracted for hosting and content delivery.

During the beta period the Service is offered free of charge. Once paid plans launch, fees, billing cycle, and payment terms will be presented to you before any charge is applied and will require your explicit acceptance.

Where the Provider processes personal data on your behalf (e.g. product feeds containing customer IDs), the Provider acts as a data processor and you are the controller. A separate Data Processing Addendum ("DPA") is available on request and will be required before production use beyond friendly beta testing.

The Service, its code, design, and documentation are and remain the property of the Provider. Nothing in these Terms transfers any ownership of the Service to you. Feedback you send us may be used without restriction.

You may stop using the Service at any time by deleting your workspace. We may suspend or terminate your access with reasonable notice, or without notice where continued access poses a risk to the Service or to other users. On termination we will delete your Customer Content within 30 days, subject to limited backup retention.

To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that feeds you generate will be accepted by, or perform well on, any specific downstream marketing platform.

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenues. The Provider's aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees paid by you to the Provider in the twelve (12) months preceding the event giving rise to the claim, or EUR 100 where no fees have been paid. Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded by law.

We may update these Terms from time to time. If we make material changes we will notify you by email or via the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the competent courts of the Republic of Lithuania, except that either party may seek injunctive relief in any court of competent jurisdiction.
